It's not really explained why Sayaka was the only one who managed to remember anything afterwards, but I guess they wanted to have that final confrontation to show where both characters stood on the matter. Sayaka and Homu were always at each others throats in the original series for some reason or another when Sayaka started making self-destructive decisions. Now it's the other way around. Sayaka grew up and moved on, but Homu's stuck in the past.

I think Sayaka understood because she had a personal connection with Homura and Madoka, while being spared the whole being ripped in half that Madoka suffered. I mean, they showed that Madoka could plausibly remember everything that happened. As for Rebellion's Ending, Homura separated Madoka from her God-self and recreated a world in which she could be happy while forcing the Incubators to shoulder the burden of curses themselves. Though its sort of implied that the status quo isn't being met in Homura's world and that the necessity for the Law of Cycles will inevitably make enemies of her and Madoka.

Or some shit, it's been a while. Magical girls trying to bring about the apocalypse because they're lesbians is more common a theme than you'd think.

Both SEELE and Gendo wanted control of Instrumentality, and a stronger say in how the apocalypse plays out. Gendo very clearly did it to reunite with Yui, which ran contrary to SEELE's goals (whatever those might've been. It wasn't clearly stated what SEELE wanted to do with Instrumentality, but presumably they would've wanted greater power and immortality, or maybe they just feared he'd only unite himself with Yui and leave humanity on its own.) And both Gendo and SEELE are racing against the Angels, who also want to initiate Third Impact, but most assuredly will do so at the cost of all humans so they can reclaim the planet promised to them.

Basically, it was a scramble for control when it came time to decide who would sit on top. But Yui/Unit-01 had different plans, and uplifted Shinji in a bid to make him happy. When Shinji used that power to tang all of humanity, SEELE was mollified somewhat, because at least part of their plan (immortality through unification) came true.

Of course, that relief was premature, since Shinji reconsidered and decided that a strong enough will should be able to leave the collective.
