Most of the negative reviews are now knee-jerks to the Take Two thing, but there were still plenty of negative reviews before that outlining the rest of the problems with the game.

It's one of the best games of this gen, great graphics, but still one of the weakest in the series, especially story-wise.

Also, the car/driving physics are total ass, and shooting is kinda unsatisfying, as is the lack of wounding and ragdoll effect, although it's not as bad as some claim.
