I don't see where the "ducking" comes into it. Holyfield was a cruiserweight, decided to move into Heavyweight to go for the belt, but wanted to fight some heavyweight fights first to get accustomed to the new weight class, the fight for the belt 2 years later.

Ward's purse for the 1st fight was $5M, and his purse for this upcoming fight is $7M. At 160,000 PPVs, the first fight operated at a loss. They most definitely have to do WAY more than that amount in the upcoming fight.
