What keeps a corporation from becoming a sovereign?

Lets say someone on /pol/ starts a legal corporate entity and begins sellong shares to /ourguys/ in exchange for goods and currency.

The corporation then employs shareholders, and gathers land, industrial bases, and 'private security' equipment.

The corporationthen declares itself a country, calls employees citizens, and is run according to a new set of rules.

Why would this or wouldn't this work?

Corporation relied on a Sovereign conferring it powers and was always subject to Parliamentary oversight.

Any declaration of independence would be a violation of the Sovereign's laws that granted it legal rights and personality. The company would cease to be a legal entity and therefore would have no recognition outside its own self declared jurisdiction.

It can work, but you need to have people in Governments/Corporations/Industry's inorder for you to successfully pull it off without any "Interruptions".

Then you have alternative routes such as Black Market & Deep Webs, Secret Societies can be added in to this aswell.

This basically describes each of the 13 corporations that were established as the original 13 US states.
The American revolution was a revolution against corporate rule.
For decades after the revolution, corporations could only be created for small projects of limited duration, such as building a bridge, collecting tolls for 5 years, and then the corporation dissolves and bridge goes to the town.
Then in the late 1800s corporations began to buy off the politicians and judges and acquired all the powers they have today.
