I don't know but I just started listening to them and they're great. Some songs are mistakable for dad-rock but others I think are too sophisticated, it'd be like saying David Bowie is dad-rock.
I understand I shouldn't expect much of an answer to any question here, but I would think that definitions wouldn't be too hard to agree on

Donald Fagen is an extremely clever composer / songwriter - musically and lyrically they go above and beyond your standard dad-rock band even if they write in similar styles
Steely Dan grew on me hard over the course of 4-5 years.
The songwriting and production are way too good to just be "dad-rock." But if you want a dadrock version of Steely Dan there are the Doobie Brothers.
