Because it's the Graze Kai with bigger shoulders and a bigger antennae. That's it. There might be something on the back, too. The prototype kinda looked like it had different boosters on it's back.

I'd be totally okay with it if they were actually different designs like what OZ did with the Leo. You can look at the Aries and the Taurus and the Virgo and see the Leo in them but you can also see that the four of them are all distinctly different MS. You look at the Graze, the Graze Kai, and the Schwalbe Graze and they pretty much all look the same. The Graze has a great design and it's a shame they'll never take any chances with it. Especially since the Graze itself is supposed to have a modular design.

Amdia's Hyakuren is nothing more than a repaint of Azee's Hyakuren with an extra rifle. There's no reason for a repaint to be a general release when you could just throw the extra rifle in a weapons pack like they did with the Schwalbe Graze handgun and lance and charge extra for the pink Hyakuren like they did with Gaelio's Schwalbe Graze and the space type Graze.

I just don't understand why certain kits are P-Bandai and others aren't. What's the logic behind the space type Graze being P-Bandai while Amida's Hyakuren is a general release when they're both just pallet swaps?

It probably just has to do with who's piloting the MSs, Amdia's is basically like a Char custom in terms of how they're marketing the kit. Though with the Zaku's there's actually a difference in design if you disregard the paint (command horn).
People still buy Char customs even though you can easily make your own from a standard Zaku since it includes the command horn you need and Bandai's probably just trying to incentivize people further with the rifle.
The SpaceGrazes are just piloted by random schmucks so Bandai probably thinks no one gives a shit about the MS which is really a shitty idea.
