Which kind of samurai and Celt? Assuming you mean Gallic Campaign-era Celtic Warrior vs a Sengoku era Samurai, the samurai would most likely wipe the floor with your random warrior through superior equipment and training, though it is worth noting Japs were ultra manlets at this period, so if the Celt manages to get him in a grapple he can probably rip his head off.

Let's assume we've got a Gallic nobleman from around 100BC and a Sengoku-period Samurai, both on foot and equipped for melee combat only.

Celt:
-Sword
-Oval shield
-Spear
-Mail shirt
-Agen helmet
-Some sort of dagger
(basically the left guy in this image)

Samurai:
-Regular armour for the period
-Katana
-Wakizashi
-Yari
-Some sort of dagger

Both are said to have been extremely skilled fighters. The obvious advantage for the Samurai is that his armour has far greater coverage, although the oval shield is large and effective. While of course hard, it wouldn't be impossible for the Celt to thrust into the weak points of the Samurai's armour.

I think the Samurai would have an overall advantage, but credit where it's due, the Celt wouldn't be fully fucked either. If a weapon gets stuck in his shield, he'll gain temporary control over it and get a good opportunity to hit the Samurai. Their spears would give them roughly equal reach, although the Samurai's two-handed one would be more agile.
One possible solution for the Celt would be to throw his spear and rely on his sword instead, trying to use the shield to get close up where he'd have a considerable advantage, at least until the Samurai draws his sword.
