Because they were film-flammy in 1940 which was the only year that the Axis actually looked likely to win.
By 1941 it was clear that if they joined in the side of the Axis they'd just get their shit kicked in too. Besides they were still recovering from the Civil War

Spain knew they would have got their shit pushed in. If it was 1945 and the germans were still on the path to victory maybe they would have. Plus spain was a poor country with a military even less worthy than italy. If they would have joined it would have just cost germany divisions it didnt have to back up spain when the anglos came knocking

Because they were still recovering from the civil war, and wanted no part of the hatchet fight going on. They'd have about 2 days before British agents all over would be arming defeated Republicans, Anarchists, and everyone else that didn't like Franco, as well as moving in directly.
