Sandman has Thing-level strength. Clayface struggles against a guy who dresses up as a bat. Now if the contest is to see who can more realistically mimic another human, Clayface wins easily. In a fight though? Sandman.

Sandman, he can actually absorb more sand into himself.

Although clayface seems to change his volume somehow, sandman can absorb more sand into himself (I don't know if clayface actually absorbs clay or what).
Also, clayface can be frozen whereas sandman can be turned into glass. Both fold like a house of cards against water though (assuming mud thing is no longer canon in marvel because I've not seen hydroman in ages).

Because both can't be killed by physical means, the most likely scenario in a death battle is that one would try to "absorb" the other.
The real question is:
Who can absorb the other better? Would they end up just fusing like Hydroman and Sandman?
Clayface isn't literally made of clay AFAIK. He just looks that way because of his fucked up shapeshifting powers. Sandman is actually changed into literal living sand, and he can add regular sand to his body.
