The two companies have been going over the merger and have hired firms(Morgan Stanley and Goldman Sachs) to help them with the finance side of it. CBS created Viacom as CBS Films/Enterprises for a way to help the network syndicate their shows but CBS spun off the company in the 1970's because the FCC said networks couldn't own Syndication businesses.

It was given the name Viacom afterwards and began as it's own company and over the years grew as a cable company/syndicator. It grew a little more powerful over the years and after Redstone purchased the company in a hostile takeover, it grew into a mass media juggernaut. This company became so powerful it was able to purchase it's former parent company for 37 billion dollars and they merged in late 1999.

After five years of being merged, the two companies realized they didn't work so well together and separated. But they are both still under the control of Sumner Redstone, so they're still corporate siblings.

Now Redstone wants these two companies to merge once again because Viacom is the weaker of the two and the family would like to see both companies as one yet again.

So Viacom and CBS are close, putting it mildly.
