First, the 51% rule is bullshit. That's not how companies work outside of the movies. Many important decisions can only be made with 2/3rds, and there are a number of actions a board can take against a solo majority shareholder that can only be countered with 2/3rds.

Second, he doesn't even control 50%, but under the charter of his own company, certain shares count DOUBLE for voting power.... and those are all the shares he kept, keeping his VOTING% well above the 2/3rds benchmark needed to have total control.

Though you are right that he can't be forced out.... it's just more complicated than the 51% meme.

When they wen public, Vinny boy only sold the "class A" shares, and gave his family "Class B" shares. Theorhetically, if he ever sold any of his "Class B" shares, a regular person could have some of them.
