The 3770 is 3.4GHz base, 3.9GHz turbo. The 3770K is 3.5GHz base, 3.9GHz turbo. An extra $60 for 100MHz on the base clock and nothing on the turbo clock. Great deal.

you don't necessarily need to watercool/delid. i would try just doing it on air and see.
i'm running my 3770k at 4.6 on air. 4.4-4.5 should be easily attainable on most chips.

Your best investment is seeing where you get on a modest air cooler. Pretty sure most 3770k's will max out without an absurd cooling solution since they clocked lower than sandy on average.
