Jane's worthy because she meets the hammer's requirement for someone who will wield it as Odin intended for Thor to wield it - the same as Beta Ray Bill is worthy.

Thor's currently not worthy because Gorr, the God Butcher, went to incredible lengths to wipe out all the gods in the universe, and Thor went to incredible lengths to stop him, and then - having succeeded - Thor was told by someone supposedly omniscient in a way that even Odin with the Odinforce struggled to be that Gorr had been in the right.

Because Thor respects the word of Nick Fury and/or the Watchers, he feels unworthy. Therefore, by the standards of the hammer, he's unworthy.
