If an S-Corp isn't taxed and a C-Corp has double-taxation, why the hell would anyone form a C-Corp?

Because C corps can have more than 99 shareholders and allow for foreign shareholders when S doesn't.
On top of that C allows for retained earnings, and can do offshoring easier.

I have an LLC.
I was under the impression that C-corp and S-corp are almost identical.
I just remember my accounting teacher telling me that c-corp is better 90% of the time.
