Literally the only downside I can think of is the inital investment size.
liquor license and competition, essentially.
The downside is that it is a food/beverage industry which had bad stats for many reasons.
High overhead, employee theft, liability for intoxicated patrons, remodeling costs every few years to stay 'cool', the list goes on and on.

You're dependant on buzz. If you open, you're the hot new location. A year later someone has the same idea and opens next door. What now?
Unless you achieve cult status it's a business that peaks early and then declines steadily until you close or refurbish for a huge investment. That's why prices and profits are so high - you have to amortize in less than 3 years or you never will. Running costs stay the same regardless of how many people show up.
Also, you have to deal with drunk idiots all the time, invest heavily into security and fire code compliance and still if some shithead high on bathsalts and coke decides to cause a panic, light a fire or shoot the place up your reputation will be ruined.
The downside is the corruption on all sides.

One major downside is you actually have to be there. Lots of cash touching lots of hands before it gets to you, and everyone wants a piece.

Don't try to run a nightclub, try to run a night at an existing club.
If you can't succeed at that, you certainly won't succeed at running a whole club.
Also you're up against the fact that nightclubs are closing down all over the place at the moment due to the fact that everybody just stays in on the internet instead.

You could try organising ad hoc events in warehouses etc and use social media to get it out there, this seems to be the done thing in London these days but it's not easy at all and I'd be amazed if people make any fucking money at all with it.
If you are in the United States you can be held liable for allowing a drunk patron to drive home if he kills someone on the road.
