If you are trying to start a business like Enron and do things legally then I would say capital and regulation.

For illegal stuff, special purpose entities are no longer accounted for in the same way.
Also, SOX and auditing standard prohibit non auditing services from accounting firms when they are auditing your financial statements.

People and regulations really. Enron was really a mix of a cult + non-existent accounting practices. You aren't going to convince any employees of doing that ever again without a whistleblower ratting you out. Oh, and when you start a large company in a 3rd world country with no regulations you can assume something fishy is going on.

Then there's king sleeze Mansoor Ijaz. This guy was mean to lead a group of investors into buying a F1 team, with the classic "don't worry cheques in the mail" excuses. I'm pretty sure he caused a serious diplomatic incident between Pakistan and the US and then threw a Pakistani defense minister under the bus just to save his own hide. Can't remember the details though.
