Well in a long term it is positive, since we do not share our profits in the Mt. Cattlin mine with others and are geting 100% of the profit, given the market demand for lithium this is fundamentaly good.

Now for the SP, it is very hard to say. Going by the keystatistics, namely the shares outstanding of both companies and their current Mkt. Caps combined, the shareprice of GXY after the acquisition of GMM will be 0,44 AUD.

This is however a very basic assumption, how the acquisition will be carried out and what assets come to play is yet to be seen.

You borrow stock from your broker. That borrowed stock you sell and get money from it. You now sold a borrowed stock that you were short of and have to give it back to the broker. As long as you are not giving it back the broker charges you a fee.

GXY and GMM announced a merge. GXY offers GMM a 1.65 share for every (1) share of GMM. The offer period is one month. The shareholders of GMM will now cast a vote of they want in the GXY spaceship or not. I am not certain when this vote will be given. (if someone could specify this, that would be great)

After this news the SP skyrocketed to 0.52 but it leveled out at 0.44, for now.

In Australia its called CAPITAL GAINS TAX...basically you add together all you income minus deductable expenses.that is your taxable income... take that number then add to it all gains from shares/investments minus any brokerage and losses then that number is your Taxable capital gain...or something like that. we have tax brackets wich determine ow much tax you pay goes from 32.5c per dollar up to $80k to 45c over &180kper dollar.CGT is just part of your income not really a seoerate tax.

Hard to say, the company has a lot of potential in the next 3-5 years. Not just much, but A LOT. There are only 4 scenarios that can play out with Galaxy.

1. They find some other thing which is better than lithium, thus Li is not necessary anymore
>currently impossible, the technology we have now is the only one economically viable. even if they find a new technology it will take 10 years at least to be implemented in the consumer products (Li-ion batteries needed that amount, since first developed by Sony in the 90's)

2. The big companies ramp up their lithium output, Galaxy gets squeezed out

3. Galaxy Resources becomes one of the big companies

If a company like FMC or Rio Tinto (although Rio Tinto has lithium assets in Serbia currently under development) buys out GXY, first thing would be a valuation of the company. According to this valuation and the current S/P the buying company offers them a premium to their S/P.

If the company getting bought agrees to this premium they ask the shareholders to vote on it.

This would look for example like FMC offering GXY to buy their company for a 0.25/1 per share of FMC. Meaning that for every GXY share you have you get 0.25 FMC shares, so if you have 1000 GXY shares, you would get 250 FMC shares out of it.

When GXY bought GMM they offered them a 1.65/1 per share of GXY. Meaning that as long as the shareholders vote yes, every GMM shareholder that has 1000 shares will now have 1650 GXY shares.

How much the premium is depends on the valuation of the company and how much the buying company is ready to pay for them.

As long as the GMM/GXY S/P is under 1,65 ratio you are buying them at a bargain price.

The price will be tied in that ratio until the acquisition is over.
