To be perfectly honest I'm not sure they ever had a clear plan for using Shazam. The fact is, even by the 70s he was fairly obscure. Paying a lot of money for the reprint rights, then buying them outright five years later, alongside having a huge legal bill for an unwinnable case... these are not the actions of the sane.

They threatened legal action against Fawcett, the company who originally published the character. AFAIK, Fawcett just stopped publishing superheroes, and for years nobody held the "Captain Marvel" trademark. Eventually DC licensed the character, but nobody owned the trademark. Marvel in the 60s took the chance to buy the trademark, and as so created their own Captain Marvel character. It isn't until the 80s or 90s when DC actually buys the rights to Fawcett characters, but by then Marvel already owned the trademark.
